    Welcome to Daniel Wolfson, company secretarial services

    Forming a limited company creates a separate legal entity that’s distinct from you, the business owner. Unlike sole traders who are personally liable for business debts, limited companies are structured to offer a layer of protection for their owners. But, with added security comes added obligations, including registration with the UK’s Registrar of Companies and annual account filings.

    Daniel Wolfson is here to help you manage the additional paperwork that comes with incorporating a limited company. Our team of chartered company secretaries provide expert guidance on setting up and running your business and managing all aspects of administering company records.

    Whether you need support with company registration, routine tasks like updating statutory registers, choosing company names or more complex assistance such as company dissolution, capital restructuring, and mergers, we’re here to help.

    Ready to get started? Contact Daniel Wolfson today!

    What is a company secretary?

    A company secretary’s role is largely administrative but can be quite technical. The role of a company secretary grows with the business, improving communication between the board of directors, regulators, shareholders, and stakeholders.

    Appointing a qualified secretary can lead to better governance, improved compliance, and even tax advantages. That’s why many private businesses, charities, and nonprofits choose us as their designated registered office address (ROA) and trust us to manage their company secretarial functions.

    Frequently asked questions about company secretarial services

    Do I need a company secretary if I’m a sole trader or in a partnership?

    Private companies or partnership businesses do not legally need to appoint a secretary, but this does not mean that they are relieved of carrying out their duties. You still have a legal obligation to deal with letters from Companies House, ensure that your accounts and annual returns are filed on time, maintain the company’s statutory registers, have knowledge of the law, and deal with the company’s articles of association. Our professional company secretarial services can ease the burden of these responsibilities.

    Who can act as a company secretary?

    A company secretary requires the experience and qualifications to handle corporate compliance requirements. There are a handful of roles suitable for the job, including:
    – One of your company’s directors, members, or PSC;
    – Another company’s director;
    – An individual, such as an existing employee;
    – Solicitor or accountant;
    – Professional chartered company secretary;
    – Professional administrative services firm.

    You cannot appoint:
    – The company’s auditor;
    – An “undischarged bankrupt“;
    – Disqualified director;
    – Anyone under 16 years old.

    Note that the rules are different for public limited companies (PLCs).

    Do company secretary details need to be on Companies House?

    The person in the role does not need to notify Companies House of their private address or date of birth, but they must file a service address for the public register to receive correspondence. This can be the same as the company’s ROA.
